Disney hired character.ai CEO Karandeep Anand as its first CTO on Oct 2, ten days before bidding $20 million in the Chapter 11 sale.

The Filing Behind the Headlines Gets a New Layer

36Kr reports that court documents show Character Technologies estimated both assets and liabilities between $50 million and $100 million, and that Disney's $20 million offer buys only a non-exclusive perpetual license to certain intellectual property — not the company, not the app, and not its 20 million monthly active users.

The auction, where Disney serves as the benchmark-setting bidder, is expected to close in late November or early December 2026, and the platform will be wound down if no buyer will keep it running.

A CTO Hire That Now Reads as Strategy

According to 36Kr, Disney hired Karandeep Anand, character.ai's chief executive, as its first CTO on October 2, and he brought in several key technical engineers before the bankruptcy petition was signed.

azat.tv corroborates that former character.ai employees who joined Disney will provide transition services under the bid, and SaasRise characterizes the whole package as effectively an acquihire of key talent.

By the time Anand's former role needed a signature, Colin Adams had already taken over as CEO.

From a $2.7 Billion Licensing Deal to $20 Million

The collapse is stark against the company's history.

36Kr recounts that in August 2024 Google licensed character.ai's dialogue technology for roughly $2.7 billion while bringing back founders Noam Shazeer and Daniel De Freitas plus about 30 researchers to Google DeepMind — an acquihire that left the remaining company hollow.

According to 36Kr, the platform still held more than 20 million monthly active users but only about 139,000 paid subscribers at the end of 2024, with estimated monthly operating costs near $30 million against modest revenue.

The Regulatory Squeeze That Closed the Exit

36Kr details a wave of legal pressure the company could not outlast: settlements in January 2025 after a Florida teenager's death, broader settlements with families in January 2026, a full ban on users under 18 in October 2025, and an FTC inquiry into how companion chatbots monetize through advertising.

SaasRise quotes CEO Colin Adams citing significant legal, regulatory, and operational headwinds, and notes proposed U.S. legislation targeting human-like chatbots for minors. The lesson, SaasRise argues, is that compliance costs must be built into consumer AI financial models from day one.

A Wider Shakeout in AI Companions

The bankruptcy is not an isolated event. 36Kr reports that at least five AI companion products shut down globally in 2025 and at least eight in China, and that among 337 active AI companion apps the top 10% capture 89% of revenue.

Sensor Tower data cited by 36Kr puts in-app purchase revenue at about $150 million in the first quarter of 2026 — twelve times the 2023 level, but small enough that character.ai's monthly costs roughly equaled the whole track's half-year revenue.

What Happens at the Auction

Next comes the court-supervised auction. Tekedia reports Disney's $20 million offer functions as the stalking-horse baseline, with competing bidders free to submit higher offers subject to court-approved procedures.

Tekedia notes character.ai intends to keep operating with minimal disruption during the sale, but the platform's survival depends on whether the winning bid includes an operator willing to run it.

azat.tv flags unresolved questions too, including whether user accounts and chat histories survive and how much litigation liability Disney would assume.
