CVS Health will spin off its ~9,000 retail pharmacies into publicly traded CVS Pharmacy by mid-2028, separating from Aetna and Caremark.

The breakup of a healthcare giant

CVS Health said on Nov. 4 that its retail drugstore business will become a separate publicly traded company called CVS Pharmacy in the first half of 2028, split from the Aetna insurance unit and the Caremark prescription benefits division, according to Transport Topics.

The company holding Aetna and Caremark will still be called CVS Health, and both companies will be publicly traded. Transport Topics reports CVS grew from a single store in Lowell, Mass., in 1963 into a company with a market value of $117 billion as of Nov.

3, and despite closing hundreds of stores in recent years still operates almost 9,000 retail pharmacies. David Joyner will remain atop CVS Health, while Prem Shah, currently group president, will run CVS Pharmacy.

A reversal of the consolidation era

The move runs counter to the long-term trend of consolidation among major healthcare companies, in which insurers combined with drug benefit managers, care providers and pharmacies to build vertically integrated enterprises, as Transport Topics notes.

Politicians decried that consolidation, with both Republicans and Democrats criticizing the sheer size of CVS and its major rivals when CEOs testified in Congress earlier this year. The split also comes after rivals like Walgreens and Rite Aid have struggled to compete.

Transport Topics reports that CEO Joyner said recent improvements in the retail business, including changing reimbursement for dispensing drugs to better align with costs, set the stage for the breakup, arguing the uncoupled retail arm can grow faster and has not historically received the same capital investments as other parts of the business.

Shares slide despite a strong quarter

TradingView reports that CVS stock lost more than 12% on Wednesday to hit its lowest level since early May, even though the company posted consensus-beating third-quarter 2026 results and raised guidance, with analysts saying the spinoff announcement overshadowed the beat.

According to Transport Topics, CVS raised its full-year profit outlook to at least $8.20 a share, up from $7.90 to $8.10, and said adjusted earnings in 2027 will be at least $8.65 a share.

Analysts cited by TradingView framed the tension: Leerink Partners' Michael Cherny noted fundamentals across both segments remain strong, while Oppenheimer's Michael Wiederhorn said the results reinforce Aetna's recovery but the separation will overshadow them.

Wiederhorn added the spinoff could address rising regulatory restrictions targeting PBM-pharmacy cross-ownership structures.

What comes next for the two CVS companies

The split is slated for the first half of 2028, leaving nearly two years of execution ahead, and analysts say key questions remain open.

TradingView quotes RBC Capital Markets' Ben Hendrix calling the announcement a surprising departure from the integrated thesis management presented at last year's investor day, while noting the spinoff has the potential to unlock shareholder value by letting investors more fully appreciate the earnings power of the go-forward benefits business.

Transport Topics reports Hendrix also flagged that how the pharmacy chain is positioned long-term in an already-challenged retail pharmacy environment will warrant scrutiny.

Bloomberg, cited by Transport Topics, reported CVS had reviewed strategic options including a breakup in 2024, so the decision follows a two-year internal review. Executives will need to detail how Aetna's recovery and the standalone pharmacy business are framed for 2027.
