Marvell will buy Lumentum in a $115B all-stock deal, betting on AI-driven demand for optical connectivity.
The deal: 4.5 Marvell shares per Lumentum share
Marvell Technology announced Monday it will acquire optical components maker Lumentum Holdings in an all-stock transaction with an implied enterprise value of $115 billion, one of the biggest tech industry deals ever.
Under the agreement, Lumentum shareholders will receive 4.5 Marvell shares for each Lumentum share. Because the deal uses a fixed ratio with no cash, its ultimate value will depend on the price of Marvell shares.
The transaction is subject to stockholder approval and is expected to close during the first half of 2028.
Why it is surprising: a massive bet after AI pullback
The takeover marks one of the most significant bets on AI in 2026, and it lands just as markets wobble. Both outlets note the deal comes despite an aggressive pullback in AI stocks last week and concerns over the long-term sustainability of infrastructure spending.
Marvell is pressing ahead anyway, banking that demand for optical connections to piece together chips used to run and train large language models will keep accelerating.
CEO Murphy: a once-in-a-generation opportunity
Marvell Chairman and CEO Matt Murphy framed the purchase as a bid to define a technological transition. "AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," Murphy said in a statement.
"The companies that move first and help define this transition will set the standard for decades to come."
Marvell said the merger unites complementary technologies and engineering expertise, combining electrical and optical technologies into an end-to-end system that meets a broader set of customer needs and makes the enlarged company a "category leader in AI connectivity."
The stakes and what comes next
The deal extends a busy acquisition run for Marvell, which CNBC reports closed a multibillion-dollar deal this year for Celestial AI, a startup focused on optical interconnectivity.
Marvell's market value has more than tripled over the last three years on AI enthusiasm, while Lumentum's stock has more than doubled in 2026 alone. The tie-up also arrives amid a nationwide boom in data center construction that has sparked backlash.
Until the expected close in the first half of 2028, the combined company must clear stockholder approval while navigating volatile AI sentiment.
